FNGR SDK LICENSE AGREEMENT

 

Effective Date: Upon signing the order form and/or installing the FNGR SDK.

 

This SDK License Agreement (“Agreement”) is entered into between Digital Humans Inc., a Delaware corporation with its principal place of business at 8 The Green, Dover, DE 19901, USA (“Digital Humans,” “we,” “us,” or “our”), and you, the Licensee (“you” or “your”). By signing the order form and/or installing the FNGR software development kit (“SDK”), you agree to these terms.

1. License Grant

 

Digital Humans grants you a limited, non-exclusive, non-transferable, and revocable license to integrate the FNGR SDK into your application in accordance with this Agreement.

 

2. Permitted Use & Restrictions

 

You may use the FNGR SDK only as permitted in this Agreement. You agree not to:

• Modify, reverse-engineer, decompile, disassemble, or attempt to derive the source code.

• Resell, sublicense, distribute, or transfer the SDK to any third party without Digital Humans’ written approval.

• Use the SDK for unlawful, unethical, or high-risk activities, including but not limited to biometric profiling, surveillance, or discrimination.

• Remove or alter any proprietary notices from the SDK.

 

3. Updates & Support

 

Digital Humans may release updates to improve functionality, security, and compatibility. You are encouraged, but not required, to install updates. Digital Humans provides limited support as outlined in our Support Policy.

 

4. Data Collection & Privacy

 

Digital Humans may collect non-personal data, such as device type, OS version, and SDK performance metrics, to improve its services. By using the SDK, you agree to Digital Humans’ Privacy Policy.

 

5. Fees & Payment

 

Fees, if applicable, will be outlined in your Order Form. Additional services, such as custom integrations or extended support, may incur extra charges.

 

6. Termination

 

This Agreement remains in effect until terminated. Digital Humans may terminate your license immediately if you violate these terms. Upon termination, you must cease using the SDK and delete all copies.

 

7. Compliance & Export Controls

 

You agree to comply with all U.S. and international laws, including Delaware and federal regulations on software export and usage. You may not use or transfer the SDK in violation of U.S. sanctions or to any restricted entity.

 

8. Disclaimer of Warranties

 

The SDK is provided “as is”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

 

9. Limitation of Liability

 

To the maximum extent permitted by law, Digital Humans is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruptions, arising from your use of the SDK.

 

10. Confidentiality

 

You agree to keep all non-public information about the SDK confidential, including documentation, technical specifications, and licensing terms.

 

11. Governing Law & Disputes

 

This Agreement is governed by the laws of Delaware, USA. Any disputes will be resolved through arbitration in Dover, Delaware, under the rules of the American Arbitration Association (AAA).
